Terms and Conditions

1. Acceptance of Terms

By accessing and using the services provided by 1024 OÜ ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Company Information

1024 OÜ is a technology consulting company registered in Estonia with registration number 11935521. Our registered address is Harju maakond, Tallinn, Lasnamäe linnaosa, Pae tn 25-2, 11414, Estonia.

3. Services Description

We provide technology consulting services including but not limited to:

• Software development and programming services
• Cloud infrastructure consulting and implementation
• Cybersecurity consulting and solutions
• Data analytics and business intelligence
• AI and machine learning consulting
• Digital transformation services
• IT support and maintenance

4. Service Agreements

4.1 Project Scope

All services will be provided according to a detailed Statement of Work (SOW) or service agreement that outlines project scope, deliverables, timelines, and costs.

4.2 Changes to Scope

Any changes to the agreed scope of work must be documented in writing and approved by both parties. Additional costs may apply for scope changes.

5. Client Responsibilities

The Client agrees to:

• Provide accurate and complete information necessary for service delivery
• Provide timely feedback and approvals as required
• Ensure access to necessary systems, data, and personnel
• Comply with all applicable laws and regulations
• Make payments according to agreed terms

6. Payment Terms

6.1 Fees and Billing

Service fees will be specified in the individual service agreement. Payment terms are typically net 30 days unless otherwise agreed in writing.

6.2 Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum allowed by law, whichever is less.

6.3 Expenses

Client will reimburse pre-approved expenses incurred in connection with service delivery.

7. Intellectual Property

7.1 Client Data and Materials

Client retains ownership of all data, materials, and intellectual property provided to us for service delivery.

7.2 Deliverables

Unless otherwise specified in the service agreement, Client will own the deliverables created specifically for them, excluding our pre-existing intellectual property and general methodologies.

7.3 Company IP

We retain ownership of our pre-existing intellectual property, methodologies, tools, and general knowledge.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the course of the engagement. This obligation survives termination of the service agreement.

9. Data Protection and Privacy

We are committed to protecting personal data in accordance with applicable data protection laws, including GDPR where applicable. Please refer to our Privacy Policy for detailed information.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that services will be performed in a professional manner consistent with industry standards.

10.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

IN NO EVENT SHALL 1024 OÜ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

12. Indemnification

Client agrees to indemnify and hold harmless 1024 OÜ from any claims, damages, or expenses arising from Client's use of our services or breach of these Terms.

13. Termination

13.1 Termination for Convenience

Either party may terminate a service agreement with 30 days written notice.

13.2 Termination for Cause

Either party may terminate immediately upon material breach by the other party that remains uncured after 15 days written notice.

13.3 Effect of Termination

Upon termination, Client shall pay for all services performed through the termination date. Confidentiality obligations survive termination.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or other force majeure events.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Estonia. Any disputes shall be resolved in the courts of Estonia, unless otherwise agreed by the parties.

16. Dispute Resolution

The parties agree to attempt to resolve any disputes through good faith negotiations. If unsuccessful, disputes may be resolved through binding arbitration or court proceedings as mutually agreed.

17. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to clients with reasonable notice. Continued use of our services after such changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
